Non-executive directors and next generation boards
What are non-executive directors?
A non-executive director (NED) is a member of the board who is not responsible for the daily operations or management of the organisation. They act as advisors to the management team. Recent years have seen a rise in the demand for non-executive directors as well as business leaders transitioning to non-executive positions. NED positions offer a wealth of professional development opportunities.
Role of the non-executive director
Non-executive directors have a broad role to play. A non-executive director should challenge, question, and monitor the CEO and senior management. They must also support and mentor the CEO and senior management, and provide an independent perspective to decision-making. NEDs serve as a “critical friend” to the executive team and must act in its best interests of the organisation and its stakeholders.
Skills required by NEDs
The selection and appointment of non-executive directors are often based on the person’s unique qualities, experience, and expertise. Prior to appointing a new NED, the nominations committee and the board of directors should assess the skills, experience, and knowledge that are lacking on the board. Boardroom chemistry and diversity should also be taken into account when appointing a non-executive director.
